SUMMARY
JOANN seeks an enthusiastic, hard-working, and skilled full-time Paralegal to join the Legal Team. The ideal candidate is a service-oriented professional with an executive presence and strong multi-tasking and problem-solving skills who will help ensure our team is best in class. This position will work closely with the Chief Legal Officer and the entire legal team, will support the real estate function, including preparation and negotiation of JOANN store leases, lease amendments, waiver agreements, subordination and non-disturbance agreements and estoppels; default letters (including tracking thereof), and the preparation of all such documents for JOANN’s signature process and mailings. May also assist in litigation, transactional, general commercial, intellectual property, governance, and other legal matters as assigned.
JOB DUTIES
- Upon receipt of deal terms, promptly prepare amendments, extensions, and similar documents. Work with legal counsel, real estate director, and landlords when negotiating and revising these real estate documents. For new leases, prepare, negotiate, manage the executions and mailing process. Also, prepare memorandum of lease and the SNDA for public recording (and record such). Upon Landlord’s request, prepare estoppels and SNDAs for their lenders.
- Maintain records for corporate subsidiaries including the formation and dissolution of entities, director and officer information, corporate record keeping, transaction execution, governance policies, and compliance processes, including signatures, mailing, and filings.
- Responsible for aspects of litigation including management of the litigation hold process and requests.
- Spearhead research on various legal issues relevant to the corporation's operations, such as compliance, contract law, intellectual property, and tenant rights.
- Oversee aspects of transactions such as mergers and acquisitions including supervision of the due diligence process, reviewing corporate records, and organization of financial documents.
EDUCATION & EXPERIENCE
Education Minimum: Bachelor's Degree in legal studies, legal support, real estate or related field
Education Preferred: Advanced Paralegal Certification from an ABA certified program.
Experience Minimum: 5+ years of hands-on paralegal or legal assistant experience with a nationally recognized law firm or major corporation.
Experience Preferred: 6+ years of years of significant real estate leasing experience and experience with some of the following legal areas: corporate governance, litigation, mergers and acquisitions, general commercial matters, and intellectual properties.
WORKING CONDITIONS
This position will be in person at the Store Support Center (SSC) in Hudson, OH.
KNOWLEDGE, SKILLS & ABILITIES
- Ability to frequently interact with JOANN executives, a wide variety of other company team members, outside counsel, landlords and their representatives, and various other third parties
- Demonstrated strength with respect to drafting and negotiating skills
- Strong organization, interpersonal, negotiation, and oral and written communication skills are a must.
- Demonstrated time management and the ability to multi-task is essential.
- Strong capability with Word, Adobe Pro, and Microsoft Office suite (including Excel, Outlook, and PowerPoint).
