Our client is a well known and prestigious private equity firm that is looking to hire a tax director to over see mergers and acquisitions as well as their portfolio companies' tax compliance.
This director will partner with the CFO on all tax matters and be responsible for the tax compliance and strategy for the organization.
Responsibilities include but are not limited to:
• Become familiar with legal and tax structures of 50+ portfolio companies and implications for domestic and international tax compliance
• Work with investment teams, CFO, GC, outside counsel and M&A Advisors to identify and mitigate tax risks as well as analyze proposed restructuring, acquisition and sale transactions. Identify and structure investments by creating blocker corps, as necessary, to mitigate unwanted Effectively Connected Income (“ECI”) and Unrelated Business Taxable Income (“UBTI”).
• Prior to and once a portfolio company has been purchased and / or restructured, work with the portfolio company accounting team and external tax compliance providers to ensure their understanding of the transaction is captured correctly and accurately. Review the portfolio company tax reporting to make sure it is reflecting the nuances of the transaction(s) that took place and review capitalization tables for accuracy.
• Help portfolio companies maintain their tax functions to ensure timely and accurate tax reporting to GP.
• Review portfolio company P&L and tax returns to determine any tax leakage and look for tax efficiencies that should be implemented.
• Assist portfolio company accounting teams and their third party tax compliance providers to to ensure compliance with the Foreign Account Tax Compliance Act (“FATCA”), Common Reporting Standards (“CRS”) and other tax regulatory regimes.
Work with portfolio company accounting teams and external tax accountants to review annual federal, state and other returns for compliance with laws and regulations within specified time frames. Some annual tasks related to the portfolio company filings include but are not limited to the following:
o Review book/tax differences and partner allocations
o Analyze equity/debt reorganizations to determine proper tax treatment and disclosure
o Review market discount/original issue discount calculations for accuracy and tax conformance
o Review draft/final Schedule K-1s/tax returns for reporting accuracy before disseminating and filing
• Assist portfolio company accounting teams with managing and coordinating tax audits, if any.
• Stay abreast of new/changed tax regulations pertaining to portfolio companies and communicate to portfolio company accounting teams and pertinent deal and accounting teams.
Job Requirements:
- Bachelor's Degree in Accounting, Finance or Equivalent
- CPA Preferred
- Min of 10 yrs of progressive tax experience in the financial services industry
