Currently,
we are seeking a highly organized and detail-oriented individual to join our legal
team as a Corporate Paralegal. This
position will be based out of Washington, DC on a flexible hybrid work model with minimal in-office commitment allowing you the autonomy that suits your lifestyle.
Key Responsibilities:
- Draft documents for
the formation, dissolution, or merger of legal entities
- Prepare board and
shareholder resolutions, incumbency certificates and powers of attorney.
- Participate in the
preparation of Board meeting materials.
- Maintain corporate
books and records (including share register) for the Corporation and assist in
subsidiary maintenance.
- Create and file
documents to qualify or withdraw an entity from doing business in certain
states.
- Liaison with U.S.
registered agents, internal and external stakeholders, shareholders, and
auditors
- Maintain corporate
organization charts.
- Research and respond
to inquiries regarding corporate data or historical information.
- File annual reports
and monitor state requirements.
- Enter accurate
corporate data in the corporate information subsidiary management database in a
timely manner.
- Support the
engagement process for outside legal counsel, which includes initiating new
legal matters, drafting retention documents, and managing invoice processing
using established matter management and e-billing software.
- Assemble and
maintain various databases and intranet sites.
- Legal research, litigation
and e-Discovery experience is a plus.
- Perform other assigned
responsibilities.

Basic
Qualifications:
- Degree
from an accredited university or a degree in Paralegal or Legal Studies
- 3+
years of experience working as a corporate paralegal in a law firm or in-house.
- Knowledge
of corporate governance principles and procedures
- Proficiency
in Microsoft Office Suite
- Hands-on
experience with legal research tools, corporate databases, and legal software
applications
- Willingness to travel 10% as necessary

The pay range for this position is $70,200 – $130,500.
The actual wage offered may be lower or higher depending on budget and
candidate experience, knowledge, skills, qualifications, and premium geographic
