Responsibilities:
Support the origination and execution of investment banking transaction mandates for large-cap corporate clients such as buy and sell-side M&A, inclusive of cross-border transactions.
Prepare client presentation materials, internal approval memos, and marketing documents such as roadshow materials and confidential information memorandums to execute transactions.
Cooperate with teams of junior investment bankers to execute transactions, prepare client materials, and manage transaction processes.
Attend client meetings with prospective buyers in sell-side M&A processes, including management presentations and due diligence.
Support internal transaction and capital commitment committee processes.
Global bank/bulge bracket M&A transactions, including executing both public and private buy-side and sell-side M&A transactions.
Prepare financial analysis, including detailed valuation analysis used in M&A transactions, such as: LBO analysis, discounted cash flow, accretion and dilution, M&A transactions pro forma analysis, comparative company analysis, and sum of the parts analysis.
Engage and coordinate with clients as a point of contact in managing buy-side, sell-side processes and other advisory workstreams (e.g., defense and activism situations, joint ventures, valuation/fairness opinions).
Draft and negotiate legal documentation, including engagement letters, confidentiality agreements, and other documents specifically related to M&A transactions.
Conduct due diligence and prepare materials for clients in connection with advisory transactions.
Conduct research using Factset, Capital IQ, Bloomberg and Thomson to analyze market data and competitive dynamics.
Remote work may be permitted within a commutable distance from the worksite.
Required Skills & Experience:
Bachelor's degree or equivalent in Business Administration, Finance, Economics, or related; and
4 years of experience in the job offered or a related Finance occupation.
Must include 4 years of experience in each of the following:

The Employer will accept 2 years of finance experience in lieu of a Bachelor’s degree in a stated field.
Up to 10% domestic and international travel, as necessary.
