COUNSEL – COMMERCIAL LAW (REMOTE)

Weare looking to add a COUNSEL – COMMERCIAL LAW to our strategic legal team. This position will be remote;however, you must be willing and able to work the 8am to 5pm business hours in theEastern US time zone in support of our business partners.
This is a key, high-level positionwithin the Siemens Corporation Legal Department that willprovide support to the Digital Industries operations on alllegal matters arising in its American operations. This is an individualcontributor role.
You’ll make a difference by:
- Ability to work closely withbusiness partners/management and contribute to the success of the business byproviding practical legal and business advice.
- Work closely with business partnersacross the organization and provide legal advice and approvals where requiredduring contract negotiations.
- Perform substantial drafting andnegotiation of contracts with customers, vendors, and business partners.
- Contract review and advice onapplicable laws and risk mitigation strategies.
- Coordination of legal advice withglobal legal colleagues.
- Analyze, manage, and resolve diversematters with government agencies and commercial customers.
- Review and provide legal advicerelating to high-profile contracts/subcontracts, bids, equipment/solutions andservice agreements, sales transactions, project implementation issues, andgeneral corporate matters.
- Assisting clients and stakeholdersto avoid liability claims and working closely with in-house/outside counsel tosuccessfully resolve claims and litigation when it arises.
- Develop and provide legal trainingto the organization, and work with corporate executives to ensure adherence tocorporate policies.
You’ll win us over by having the followingqualifications: Basic Qualifications: - JurisDoctorate from a U.S. accredited institution, in good standing.
- Licensedto practice law in one or more states.
- Fiveplus years of legal experience in transactional law, acquired in either a lawfirm or corporate in-house setting.
- Proficiencyin commercial transactions and claims management.
- Effectivecommunication of legal advice or information to non-legal stakeholders.
- Advancedknowledge of equipment sales contracts, solutions contracts, service contracts,and software licensing.
- Comprehensiveunderstanding of Software as a Service (SaaS) subscription-based businessmodels and cloud infrastructure transactions.
- 5years of experience in drafting, reviewing, and negotiating large and complexcommercial agreements, including federal government and construction contractsand transactional documents for sales of hardware, services, and software.
- Travel expectation <10% (domestic andinternational) with travel to the relevant business headquarters office will berequired on an as-needed basis.
- Legally authorized to work in the United Stateson a continual and permanent basis without company sponsorship.

- Knowledge of legal issuesspecific to the technology, manufacturing, industrial, and software industries.

Thepay range for this position is$90,790 - $155,640. The actual wage offered may be lower or higherdepending on budget and candidate experience, knowledge, skills,qualifications, and premium geographic location.?
