Your Role
Gensler is seeking a Corporate Counsel generalist to join its Legal Studio. The corporate counsel will report to the General Counsel. The position is located in our Los Angeles office (5 times per week) and will provide global legal support for the firm across a variety of transactional disciplines. The Corporate Counsel will work with the firm’s corporate and compliance legal teams as a generalist with responsibilities in the areas of corporate governance, compliance, intellectual property, data governance and privacy, firm architectural licensure, contract management, legal operations and technology, and vendor procurement.
This is a one-of-a-kind opportunity for a junior to mid-level lawyer, with a passion for understanding the business of design and a desire to work with creative leaders, to become part of the Gensler family. This is not a conventional, back-office, black-letter legal role; at Gensler you will be on the front-line, dealing with senior firm leadership on a daily basis, and partnering with them and your Legal Studio colleagues to navigate opportunities and challenges in an ever-complex world. We are not just looking for an extremely talented legal professional; we need someone with a passion for being involved in the firm’s business strategy and driving it forward by providing practical guidance on a variety of corporate legal issues.
Key Responsibilities
Advise on corporate governance issues and compliance, including domestic and international subsidiaries.
Lead roll-out, development, troubleshooting, and management of our contract management solution.
Evaluate, select, and implement legal technology solutions to streamline workflows and improve productivity.
Assist in managing the firm’s compliance program, ensuring the program meets legal and regulatory requirements and addresses areas of greatest risk to the firm.
Draft, review and negotiate commercial agreements in the areas of intellectual property, employment, data privacy vendor procurement and NDAs.
Advise on global architectural licensing and regulatory compliance.
Help to manage and protect the firm’s intellectual property portfolio; negotiate related agreements and manage related disputes.
Act as a subject matter expert on legal technology trends and solutions, providing insights and guidance to the Legal Studio team and key stakeholders.
Drive change management initiatives to foster adoption of new processes, tools, and technologies within the Legal Studio.
Provide leadership and support to Legal Studio team members during periods of organization change or technology implementation.
Your Qualifications
Active bar admission in California.
Minimum of 2 years of experience in general corporate and commercial matters in a transactional setting (in a law firm and/or in-house corporate legal department).
Experience required in establishing and maintaining corporate entities, including Board and shareholder actions and meetings.
Experience preferred in managing legal technology roll-outs.
Experience preferred negotiating agreements for digital goods and services (buy side and/or sell side).
Experience preferred in the areas of compliance and related training, data privacy (including CCPA and GDPR), data governance, and negotiating related commercial agreements.
Exceptional interpersonal, oral, and written communication skills, including a demonstrated ability to work across various functions and levels within an organization.
Self-motivated, flexible and positive team player.
Ability to effectively manage multiple projects and priorities in a fast-paced environment.
**The base salary will be estimated between $150k-$180k plus bonuses and benefits and contingent on relevant experience.
