Large multinational corporation is looking to hire a new Senior Counsel focused on export trade and compliance.
Under supervision, the senior counsel: (a) reviews, negotiates and drafts commercial contracts for assigned client companies or divisions; (b) provides advice, counsel, and training on trade compliance and export control law, compliance, contracts, and related topics to the companies in the United States; (c) provides advice, counsel, and training on government contracts provisions and law, compliance, and related topics to the companies in the United States; (d) manages with other ACO Legal colleagues and/or outside counsel litigation in which any of the senior counsel’s client companies is a party; and (e) carries out any other legal work assigned to the senior counsel by the General Counsel.
The essential functions of the position include, but are not limited to the following:
Serve as the first point of contact for legal services for assigned business divisions, and, as requested, other US based companies or divisions, and provide legal services promptly and efficiently, with an understanding of the client’s operations and business needs.
Review, negotiate and draft commercial contracts and related documents for assigned business divisions, and, as requested, other US based companies or divisions including (a) sales and purchasing agreements, (b) distributor/reseller agreements, (c) supply agreements, (d) marketing and other service agreements, (e) non-disclosure agreements, and (f) sales programs, policies and procedures.
Provide advice and counseling to all US based companies on trade compliance, export control, and government contracts matters and to assigned business divisions on contract law, litigation, legal compliance, non-disclosure agreements, and litigation hold policies and procedures.
Supervise, manage, and oversee, with other ACO Legal colleagues and/or outside counsel, any litigation on behalf of assigned business units, and, as requested, any export control, trade compliance, or government contracts litigation or administrative matters in which any of the US based companies is party.
Provide regular trade compliance, export control, and government contracts training to all US based companies along with other legal training to assigned business units and as requested, other US based companies on topics including contracts, litigation, legal compliance, litigation hold and NDAs.
Liaise with otherACO lawyers to provide or obtain specialized advice, including obtaining employment, antitrust, intellectual property, and environmental regulations.
Interface with appropriate US government departments and agencies with regard to US export compliance, prepare, review and/or file all requests, applications and disclosures relating to US export compliance, including, without limitation, license applications and technical assistance agreement. Conduct informal reviews of export compliance activities by the companies in the US.
Advise and counsel on trade compliance and import activities by the companies in the US.
Prepare, file and, as necessary, meet with the appropriate US government agency in connection with any alleged or suspected violation of US export laws, rules or regulations, including the preparation and filing of voluntary disclosure reports.
Carry out special projects as directed by the General Counsel, e.g., reviewing the export control, trade compliance, government contract, aspects of due diligence work in M & A transactions.
Perform other duties as assigned.
EDUCATION AND EXPERIENCE:
Graduation from a top-tier law school.
Admitted to practice law in California.
6 – 12 years’ experience in a corporate law department or law firm with substantial experience in export control, trade compliance, government contracts, and commercial contract drafting and review.
Experience with data privacy and cybersecurity compliance preferred.
Excellent communications skills.
Ability to multi-task in a team-oriented, fast-paced, multi-cultural, diverse environment.
