Position Summary:
Monster is seeking a highly-motivated, full-time, Sr. Corporate Paralegal to join the global corporate legal team. This critical role will support the establishment and maintenance of new and existing legal entities in EMEA in furtherance of Monster’s global growth strategies and initiatives. The position will be based in Corona, California and will report to the Director of Corporate Affairs with dotted line reporting to the SVP & Legal Director (EMEA).
Essential Job Functions:
International corporate subsidiary governance & maintenance: support compliance with the corporate obligations of Monster’s EMEA subsidiaries. Work with local counsel to ensure all entities and affiliated branches are in good standing and comply with all necessary formalities (e.g., board meetings; timely approval and annual filings).
Prepare and maintain corporate compliance documentation for Monster’s EMEA subsidiaries.
Draft corporate legal documentation as needed, including but not limited to, board resolutions and powers of attorney, filing of legal documents as well as obtaining signatures and organizing and maintaining drafts and executed copies in our internal document and entity management system.
Maintain and update our legal entity org chart and providing abbreviated and/or certified versions for third parties.
Assist with the formation of new legal entities, granting of signing authorities (Powers of Attorney), changes to the board of directors and registered address changes.
Assist with the development and execution of detailed step plans to establish legal entities and operations in new markets within EMEA.
Support completing M&A transactions, new ventures and entity integration, etc.
Coordinate with cross-functional teams & key contacts around the globe.
Work alongside the other members of the international corporate legal team, and provide an efficient and comprehensive corporate legal support for the Head of Legal, as needed.
Position Requirements:

Qualifications:
Minimum 10 years of recent corporate transaction and entity formation
Bachelor’s degree and an ABA approved paralegal certificate
Exceptional organizational skills and ability to prioritize your time and deadlines accordingly.
Decisive and display maturity in judgment.
A self-starter who can handle multiple projects with competing priorities with minimal supervision.
Ability to work within a complex and constantly changing, fast-paced, demanding work environment.
Ability to build and maintain positive working relationships with internal business functions around the globe as well as external advisors.
MS Visio proficiency for organizational charts
Experience with the Global Entity Management System (GEMS) platform
Notary Public or willingness to become a California notary.
Experience with Legal Tracker (formerly Serengeti), a plus
