Currently,we are seeking a highly organized and detail-oriented individual to join our legalteam as a Corporate Paralegal. Thisposition will be based out of Washington, DC on a flexible hybrid work model with minimal in-office commitment allowing you the autonomy that suits your lifestyle.
Key Responsibilities:
- Draft documents forthe formation, dissolution, or merger of legal entities
- Prepare board andshareholder resolutions, incumbency certificates and powers of attorney.
- Participate in thepreparation of Board meeting materials.
- Maintain corporatebooks and records (including share register) for the Corporation and assist insubsidiary maintenance.
- Create and filedocuments to qualify or withdraw an entity from doing business in certainstates.
- Liaison with U.S.registered agents, internal and external stakeholders, shareholders, andauditors
- Maintain corporateorganization charts.
- Research and respondto inquiries regarding corporate data or historical information.
- File annual reportsand monitor state requirements.
- Enter accuratecorporate data in the corporate information subsidiary management database in atimely manner.
- Support theengagement process for outside legal counsel, which includes initiating newlegal matters, drafting retention documents, and managing invoice processingusing established matter management and e-billing software.
- Assemble andmaintain various databases and intranet sites.
- Legal research, litigationand e-Discovery experience is a plus.
- Perform other assignedresponsibilities.

BasicQualifications:
- Degreefrom an accredited university or a degree in Paralegal or Legal Studies
- 3+years of experience working as a corporate paralegal in a law firm or in-house.
- Knowledgeof corporate governance principles and procedures
- Proficiencyin Microsoft Office Suite
- Hands-onexperience with legal research tools, corporate databases, and legal softwareapplications
- Willingness to travel 10% as necessary

- CertifiedParalegal designation a plus

The pay range for this position is $70,200 – $130,500.The actual wage offered may be lower or higher depending on budget andcandidate experience, knowledge, skills, qualifications, and premium geographiclocation.?
