In-HouseSenior Counsel - Equity and Project Finance
Siemens is seeking an in-house Counsel to join our dynamic teamin the U.S. In this role, you'll play apivotal part in advising Siemens' business partners on private equity-styleinvestments in projects and platforms across renewable energy, efficiency, andinfrastructure, including sectors like healthcare and e-mobility, throughoutthe Americas.
We're looking for a self-starter with exceptional judgment,capable of thriving independently and collaboratively within a teamenvironment. As a trusted advisor to Siemens' business units, you'll need theability to distill complex legal matters into comprehensible business risks andprovide actionable recommendations. This role presents an outstandingopportunity to be an integral part of an esteemed legal department within aglobal company that values and empowers its employees. In this position, you will work a hybrid role:work from home or the office as scheduled and necessary.
What are my responsibilities?
- Acting as a trusted business advisor to business partners andsenior management, including:
- Advising on acquisitions, divestments, and joint ventures.
- Managing participation in tender processes, primarily in Northand South America, including PPP, BOT, and alliance models.
- Structuring transactions for "bankability."
- Drafting, reviewing, and negotiating project and majortransaction documentation such as: share purchase agreements, shareholders’agreements, articles of association, by-laws and other ancillary agreements,loan agreements, common terms agreements, security agreements, equitycontribution agreements, project development agreements, BOP, EPC, and O&Mcontracts, teaming agreements, and concession contracts.
- Guiding asset management and corporate governance of portfoliocompanies.
- Selecting, mandating, and supervising external legal counsel.
You’llwin us over by having the following qualifications.
Basic Qualifications:
- Juris Doctor (JD) required.
- 8+ years of legal counsel professional experience in aninternational setting at a major law firm or within the legal department of alarge industrial or technology company.
- Experience in private equity and infrastructure acquisition,disposition, and finance transactions.
- Expertise in project finance, corporate finance, and debtcapital markets.
- Proficiency in joint venture agreements.
- Experience in public-private partnerships (PPP), publicprocurement processes, and concession structures.
Preferred Qualifications:
- Experience in merger and acquisition transactions.
- Approachable, easygoing, and flexible demeanor.
- Proficiency in reading, speaking, and writing in Spanish orPortuguese

The pay range for thisposition is $172,620 - $295,920. Theactual wage offered may be lower or higher depending on budget and candidateexperience, knowledge, skills, qualifications and premium geographic location.
