Our reputable law firm client is seeking a Corporate Paralegal with 5 to 10 years of experience in corporate transactions, focusing on IPOs, mergers and acquisitions, re-incorporations, stock option plans, and venture capital financings.
The ideal candidate will have a strong background in servicing diverse clients, including technology start-ups, emerging growth companies, and public firms.
Responsibilities:
Incorporate high-tech companies and manage associated legal documentation.
Perform records management for corporate transactions and maintain accurate records.
Administer and implement stock option plans, ensuring compliance and accuracy.
Handle venture capital financings, including document preparation and coordination.
Conduct blue sky research to ensure compliance with state securities regulations.
Oversee intricate shareholder mailings, coordinating efforts with legal analysts.
Qualifications:
5 to 10 years of experience as a Paralegal in corporate law, specifically in IPOs, mergers and acquisitions, re-incorporations, stock option plans, and venture capital financings.
Proven experience with technology start-ups, emerging growth companies, and public firms.
Strong organizational skills and attention to detail in managing complex legal documentation.
Proficiency in legal research and drafting legal documents.
